Corporate Governance

Strate practices high corporate governance standards that contribute to the ongoing sustainability of the company and enhance long-term shareholder value creation, ensuring that other stakeholders benefit from its success.

Through sound governance principles, Strate can comply with legal and regulatory obligations, identify and manage risks within defined parameters. This enables it to ensure there is a balanced exercise of power within the company and its practices continue to serve and be accountable to its community from a socio-economic viewpoint.

The Board of Directors is ultimately responsible for ensuring that the company adheres to sound corporate governance principles. Directors have a fiduciary duty to act in good faith, with due diligence and care, and in the best interests of the Central Securities Depository (CSD) and its stakeholders. The Board is accountable to shareholders while it considers the interests of other stakeholders, such as CSD Participants, employees, investors, issuers and regulators.

Governance in the company extends beyond compliance with codes, legislation and regulations. Management strives to embed it into its culture and business philosophy, incorporating it into its purpose, vision and values.

Strate endorses the principles of accountability, integrity and transparency underlying the Code of Corporate Practices and Conduct as contained in the revised Code of and Report on Governance Principles for South Africa (King III). Strate monitors its compliance with the King Code and ensures that the company's policies and procedures are appropriate on an ongoing basis.
